1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client" or "User") and Shankh Labs ("we", "us", or "our"), governing your access to and use of our website and custom software services. By accessing our services, you agree to be bound by these Terms.

2. Services Provided

Shankh Labs designs, builds, and maintains custom software systems and internal tools for businesses. Our services may include integrations with third-party platforms such as business messaging platforms, Email, and Cloud Storage providers.

3. Acceptable Use Policy

You agree to use our services only for lawful purposes and in accordance with these Terms. You specifically agree NOT to:

Use our services to send unsolicited bulk messages (spam) or violate the policies of any third-party messaging platform.
Process any data that you do not have the legal right to collect or process.
Attempt to reverse engineer, decompile, or disassemble any portion of our software.
Use the services for any illegal or unauthorized purpose.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your access to our services.

4. Intellectual Property

The custom software code, designs, and systems created by Shankh Labs remain the intellectual property of Shankh Labs unless otherwise specified in a separate Master Services Agreement (MSA). You are granted a non-exclusive, non-transferable license to use the software for your internal business operations.

5. Limitation of Liability

To the fullest extent permitted by law, Shankh Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the services; (ii) any conduct or content of any third party on the services; or (iii) unauthorized access, use, or alteration of your transmissions or content.

We explicitly disclaim liability for any actions taken by third-party platforms (e.g., a messaging platform restricting access) due to your violation of their policies.

6. Disclaimer of Warranties

Our services are provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. Governing Law

These Terms shall be governed by and defined following the laws of India. Shankh Labs and yourself irrevocably consent that the courts of Surat, Gujarat shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
